A little over two years ago, the Division of Enforcement did an intensive review of its investigations and philosophy concerning financial reporting and auditor misconduct. The Division’s focus on Financial Crisis cases was shifting. The tremendous resources brought to bear to identify and pursue culpable financial institutions and individuals had resulted in a record-breaking number of enforcement actions. But, these investigations were coming to a close. The Division’s inventory of accounting fraud cases, which had traditionally been a core component of its investigations and actions, were at lows. In addition, legislation passed after the first bubble had significantly tightened public company internal controls and supplemented and reinforced personal responsibility of senior management for their company’s financial statements. Auditors were also now regulated by a separate agency. Did these significant changes and the industries’ reaction to those changes substantially curtail misconduct in this area? Join in a discussion about the SEC’s “post-modern” approach to accounting fraud and auditor misconduct.

SPEAKERS:
Jason P. Lee
Jason P. Lee is a Senior Counsel in the Enforcement Division’s Financial Reporting and Audit Group (“FRAud Group”). Originally a task force comprised of attorneys and accountants from across the agency, the FRAud Group is now a permanent body dedicated to identifying and investigating financial fraud and auditor misconduct. In 2015, the California Supreme Court appointed Mr. Lee to the State Bar of California’s Board of Trustees, the governing body of the country’s largest bar. He previously served as Chair of the Commission on Judicial Nominees Evaluation, the body statutorily responsible for investigating, evaluating, and rating all potential appointees to the state trial and appellate courts, including the state’s highest court.
Mr. Lee has substantial experience in securities regulatory, compliance, arbitration, and litigation, including investment adviser, offering, and accounting frauds, FCPA violations, and insider trading. He previously served as Counsel to the Director of the Enforcement Division in Washington, D.C. Prior to joining the SEC, Mr. Lee was the co-chair of his former firm’s securities group where he led efforts in defending federal and state criminal and civil investigations, litigating all manners of disputes in federal and state courts, and conducting internal investigations on behalf of public companies as well as their Audit Committees. He is a Bruin, earning his B.A. in Economics in 1994, and graduate of Santa Clara School of Law and Georgetown University Law Center, receiving his J.D. and LL.M., with distinction, in 1997 and 1999, respectively.
Dora Zaldivar
Dora Zaldivar is a staff accountant in the Enforcement Division of the SEC’s Los Angeles Regional Office. Ms. Zaldivar joined the SEC in July 2008. While at the SEC, she has investigated offering frauds, Ponzi schemes, and potential financial statement frauds. She has also testified in Federal Court and in an Administrative Proceeding. Prior to joining the SEC, Ms. Zaldivar spent thirteen years working in various public accounting firms, including at three of the big four accounting firms. Her experience in public accounting focused on forensic/investigative accounting, litigation support, and damage analysis. Ms. Zaldivar is a CPA and a CFE. She received a B.S. in Business Administration in 1995 from CSULA.
